We [Country Waffles, Inc.] are a California corporation. All of our stock is owned by H. T. Brooks. Mr. Brooks is Chairman of the Board of Directors of Country Waffles, Inc. and serves as its President and Chief Operations Officer. Thomas Nast is a shareholder and serves a General Counsel.

We franchise “Country Waffles” restaurants. That is all we do. We do not own and operate restaurants, but Mr. Brooks, individually, own and operates two “Country Waffles” restaurants, as well as a number of “Jeb's” restaurants. Mr. Brooks has been actively engaged in the restaurant business for more than 40 years.
